WorldMark Board of Directors -- Code of Ethics 

OK, this is a bit of a setup.  Our WorldMark Board of Directors HAS no formal Code of Ethics and Conduct!  That is unbelievable given America's general climate of distrust for Corporations and Boards of Directors.  We MUST have an official statement showing our Board's commitment to the highest standards of ethics and accountability.

That is not to say that the subject has not been approached.  The Board Meeting minutes for June 26, 2008 contain the following reference: "BOARD HANDBOOK. Dave Herrick reported that the handbook is currently being drafted by outside counsel, and that he expects a draft copy within a couple of weeks.'"  The next mention of a Board Handbook is in the minutes to the April 2, 2009 meeting, when Bob Morrison presented a proposal for a consulting firm to be hired to prepare a Board Handbook.  That proposal was later withdrawn, and replaced with a motion that WorldMark's attorneys "prepare an out line of what a handbook of board roles and responsibilities might look like."

I strongly urge our Board of Directors to adopt a Board Handbook, prepared by a professional consulting firm with no ties or obligations to WorldMark the Club or to Wyndham Worldwide.  As a part of and in advance of this Board Handbook, the Board must adopt a formal Code of Ethics and Professional Conduct For Directors.
