The Settlement specifically gives Wyndham permission to build whatever they want, wherever they want, and set whatever credit values they want, and WorldMark will NEVER have ANY say about it. -WAIVER AND RELEASE. The Settlement absolves Wyndham of all actions, "whether known or unknown, suspected or unsuspected, asserted or unasserted, foreseen or unforeseen …” that are in any way related to “any claim that was or could have been asserted against Wyndham or any Released Person by the Class Representatives or any member of the Settlement Class.” We are giving away our right to challenge Wyndham on EVERYTHING they have EVER done, regardless of what it was or whether anyone knew about it! -REMOVAL OF UNITS. The Settlement allows Wyndham to remove up to 421 units from the WorldMark system, without a vote of the owners. This is specifically forbidden by our Bylaws! In return, Wyndham will "retire" (remove from their sales pool) about 2.5 million credits. At this points, these credits are a LIABILITY to Wyndham, not an asset. HOW TO OPT OUT To opt out of (exclude yourself from) the lawsuit settlement, send a letter to the Plaintiff's counsel. Though not required, I suggest that you also send copies of the letter to the Clerk of the Court and to Wyndham's counsel. Their addresses are below. Your letter MUST: 1. Reference Wixon v. Wyndham, Case No. C 07-02361 JSW (BZ) 2. List your name, address, telephone number, and WorldMark owner account number 3. Be signed by the owner of record on the account 4. 2011 Board Election A big "thank you" to all those who have supported me in my bid to serve on the WorldMark Board of Directors the last three years. I have chosen not to run in 2011. This is NOT because I have given up on WorldMark. On the contrary -- we have made great progress! We now have two truly and completely independent Directors on WorldMark's board: Bob Morrison and Cecilia Cuevas. Both are up for re-election this year, and I believe it is VERY important that we support them and help them to retain their seats on the Board! What about proxies? I still urge you to assign your proxy to someone you trust to represent you. Even if you are planning to cast your own vote, assigning a proxy can provide an important safeguard.
